POWER OF ATTORNEY 授權(quán)委托書 THIS POWER OF ATTORNEY is made and effective from 1st September 2015 by, a company incorporated in Hong Kong Special Administrative Region of the People’s Republic of China ("PRC") with whose registered office is at (the "Principal"). 本授權(quán)委托書由 ，一家在中華人民共和國 成立的公司注冊號為 的公司，其注冊地址位于 “授權(quán)人” ）簽署，并于二零一五年九月一日起生效。 1. The Principal appoints as attorney-in-fact solely for the purposes described in paragraph 2 as set forth below ("Attorney"). 1. 為且僅為下述第2條所述之目的，其持中華人民共和國香港特別行政區(qū)護照：（“授權(quán)代理人”）。 2. (a) execute and deliver all letter of interest,management contracts, side agreement,supplementary aggrement,variation of management contracts,extension agreement,Termination aggrement,license agreements, marketing agreements, service agreements, operating and management agreements, pre-opening service agreements and technical services agreements relating to the franchising, licensing developing, managing or operating of “Crowne Plaza”, ”Holiday Inn”, “Holiday Inn Resort”, “Holiday Inn Express”, “Hotel Indigo” and “Intercontinental” branded hotels and resorts in the PRC, Macau, Special Administrative Region of the PRC, Hong Kong, Special Administrative Region of PRC, and Taiwan (the “Greater China”); (a) 簽署并遞交在中國、澳門特別行政區(qū)、香港特別行政區(qū)以及臺灣（“大中華區(qū)”）境內(nèi)特許經(jīng)營、許可、開發(fā)、管理或運營“品牌的酒店及渡假村有關(guān)的所有意向書、酒店管理合同、附屬協(xié)議、管理合同變更協(xié)議、補充協(xié)議、延期協(xié)議、終止協(xié)議、授權(quán)許可協(xié)議、營銷協(xié)議、服務(wù)協(xié)議、運營及管理協(xié)議、開業(yè)前服務(wù)協(xié)議和技術(shù)服務(wù)協(xié)議； (b) execute and deliver any document which are referred to in documents described in (a) or which are ancillary or related to them or contemplated by them; (b) 簽署并遞交（a）項描述的文件中所引用的、對進行補充的、與其相關(guān)的或其預(yù)期的任何其他文件； (c) execute and deliver any document or perform any act, matter or thing relating to the Principal's involvement in the transactions contemplated by the documents described in (a); and (c) 簽署并提交（a）項描述的文件所預(yù)期的商業(yè)交易中與授權(quán)人相關(guān)的任何文件，或履行與其相關(guān)的任何行動、事項或事宜；及 (d) give effect to the transactions contemplated by the documents described in (a), including, but not limited to, completing blanks and making amendments, alteration or additions. The Principal declares that all lawful acts, matters and things done by the Attorney in exercising powers in accordance with this power of attorney will be as good and valid as if they had been done by the Principal and agrees to ratify and confirm whatever the attorney does in exercising lawful powers in accordance with this power of attorney. 3. 授權(quán)人聲明，授權(quán)代理人根據(jù)本授權(quán)委托書所做出的所有法律行為、事項或事宜和授權(quán)人所做的一樣且具有相同效力，授權(quán)人并同意將批準及認可授權(quán)代理人根據(jù)本授權(quán)委托書行使合法授權(quán)所做的所有行為。 4. The Principal indemnifies the Attorney against liability, loss, costs, charges or expenses arising from the lawful exercise of powers in accordance with this power of attorney. 4. 授權(quán)人保證補償授權(quán)代理人因依本授權(quán)委托書行使合法授權(quán)而引起的責任、損失、費用、花費或支出。 5. The Principal declares that a person (including, but not limited to, a competent authority, firm, body corporate, unincorporated association or authority) who deals with the Attorney in good faith may accept a written statement signed by the Attorney to the effect that this power of attorney has not been revoked as conclusive evidence of that fact unless such person has actual knowledge to the contrary. 5. 授權(quán)人聲明：一個以誠信與授權(quán)代理人處理事宜的人（包括但不限于主管機關(guān)、事務(wù)所、法人社團、未組成公司的組織或機構(gòu)）可接受由授權(quán)代理人簽署的說明本授權(quán)委托書未被撤銷書面聲明，以作為委托事實的結(jié)論性證據(jù)，除非此人知道相反的實情。 6. The Principal declares that the Principal and a person (including, but not limited to, a substitute or assign) claiming under the Principal are bound by any lawful actions the Attorney does in exercising powers in accordance with this power of attorney. 6. 授權(quán)人聲明: 授權(quán)人及以授權(quán)人名義提出權(quán)利主張的某一個人（包括但不限于替代者或受讓人）受授權(quán)代理人依本委托書行使授權(quán)所做的任何法律行為的約束。 7. This Power of Attorney is effective from the date hereinabove and valid until the earliest to occur of the following: (i) 31 December 2016; or (ii) for each individual Attorney the date upon which he ceases to be an employee of IHG; or (iii) any date upon which the Principal cancels, revokes or substitutes (in part or in whole) this Power of Attorney. 7. 依本授權(quán)委托書之授權(quán)自文首之日期開始生效，直至下列最早的情形發(fā)生之日終止：(i)2016年12月31日終止；或(ii)授權(quán)代理人作為洲際酒店集團之公司雇員的雇傭關(guān)系終止；或(iii)授權(quán)人部分或者全部取消、撤回或替換該授權(quán)。 8.
