. Purchase and Sales Contract of Stocking House of Lishui District () Housing Purchase and Sales Contract Zi. No. Contract Notes I. This contract is applicable to all the stocking house business. II. Please use pen, writing brush and other writing tools which are hard to discolor and erase to fill in. III. Any alteration of this contract shall be signed for confirmation by Party A and Party B. IV. Marking ‘√’in ‘□’ refers to be selected, and marking ‘’ refers to be unselected. All of them are single selected except for that liabilities for breach of contract can be repeatedly selected. V. The blanks of this contract articles shall be filled in by both the buyer and the seller. VI. Please carefully consider the specific implication of article IV and article VI and take corresponding measures to protect legitimate rights of their own in case of violating legitimate rights of others. VII. Please carefully read special notes of area error and special terms to avoid disputes. VIII. Contents of brokerage column which contribute to transaction through brokerage agencies should be filled in truly to protect legitimate rights. IX. Party A and Party B choose to deliver house fund through fund supervision, and they shall know the relative regulations and legal documents about stocking house fund supervision in detail. Please carefully read the above notes and article contents of this contract to protect legitimate rights of their own. Purchase and Sales Contract of Stocking House of Lishui District Party A (seller): Party B (buyer): Brokerage agencies: Following the principle of equality, voluntariness and good faith, Party A and Party B hereby enter into this contract on house purchasing issues through negotiation. Article I Party A voluntarily sells the house to Party B and Party B has fully understood the specific situation of this house and agreed to buy this house voluntarily. Specific situation of this house is as follows: (1) This house is located at of Lishui District, herein, construction area is square meters, usage of this house is residence; (2) House Proprietorship Certificate Number of this selling house is 2063103 2063104, parcel (land) No. 12408010-0038; (3) House plan and its scope of the four boundaries of the house are specified in Appendix I; (4) Land-use right of the house obtained through R transfer, service life of the land is from / day/ month / year to / day/ month/ year; □ allocation. Land-use right of the house is transferred together with this house. Relevant rights are transferred together with this house. Article II Party A promises to truthfully state ownership situation of the above house and other specific situations and guarantees that this house would not be legally claimed by others. Article III Party B shall pay off deposit (Currency: N/A) (in words N/A) (in figures N/A) before . The above-said deposit □ will be used as an offset to the house fund □ when the Party B effects the last payment, and Party A shall return the deposit back to the Party B at N/A. □ Article IV The house fund is (Currency: RMB) (in words RMB TWO MILLION YUAN ONLY) (in figures ¥2,000,000.00). Payment method and term of house fund are as follows: 1. Party B shall effect payment¥950,000.00 in words, RMB NINE HUNDRED AND FIFTY THOUSAND YUAN ONLY to Party A at the time of transferring the ownership. 2. Party B shall effect final payment ¥1,050,000.00 in words, RMB ONE MILLION FIFTY THOUSAND YUAN ONLY to Party A on the day of delivering the house (pay before February 18, 2014). Manners of delivering house fund: □ Transferring through the special deposit account for transaction settlement funds of stocking house of Lishui District Party A and Party B have fully known and voluntarily complied with the relevant regulations, procedures and legal documents which should be signed by both parties of the transaction settlement funds supervision of stocking house. After signing the contract, both parties should sign the Transaction Funds Supervision Agreement of Stocking House with funds supervision authority of stocking house and handle the relevant procedures. R Party A and Party B deliver house fund on their own according to the agreement No matter which way Party A and Party B choose to deliver the house fund, the brokerage agency shall strictlyexecute relevant national and local governmental regulations and shall not charge house transfer fund in any form. Where Party B fails to deliver the house fund as stipulated, he shall be subject to contract-breach responsibilitiesaccording to the following agreements: □ In case that Party B delays in payment, he shall pay N/A ‰o of expired house fund as fine per day. □ Where the overdue payment period is over N/A days and the owed expired house fund is over RMB N/A, and then Party A has the right to terminate the contract. Party A shall return the received house fund, not including the deposit, to Party B within N/A days after the termination of contract; and Party A is also entitled to require Party B to pay N/A﹪of the total house fund as default fine. □ Article V Party A and Party B agree to officially deliver the house on N/A; Party A shall vacate this house before delivery. The two parties agree to apply to related departments for re-named procedures of relevant ancillary facilities and rights before N/A. Party A shall remove household relations which settled in this house before N/A. Party A shall bear relevant liabilities for breach of contract in case that Party A fails to perform the above obligations: □ In case that Party A delays in delivering the house, he shall pay N/A‰ of total house fund as fine per day. □ In case that the house Party A delivers does not meet the ancillary facilities or decoration agreements, he shall bear compensation responsibilities according to □ agreed value □ appraisal value □ marketing price of the insufficient part. □ Where the overdue period of delivering the house is over N/A days, Party B has the right to terminate the contract, and Party A shall return the received house fund and double return the deposit to Party B N/A days after the termination of contract, and pay N/A﹪of the total house fund as default fine. □ Article VI Party A and Party B confirm that the co-owners of this house have agreed to sell the house to Party B in written form even though there is no record on the House Proprietorship Certificate. Article VII Party A and Party B agree to apply to houseownershipregistration authority for transferring registration of this house ownership within three days after the contract coming into effect: □ (suit for transactions which contribute to through brokerage agency) In accordance with stipulations on the Measures for the Online Trading Administration of Nanjing Stocking House, the brokerage agency shall handle online operation service on transferring registration application of house ownership of Party A and Party B before applying for transferring registration of house ownership. Within three days after online operation service of the brokerage agency, Party A and Party B shall apply for transferring registration application of house ownership from housing management institution with application and other registration documents □ (suit for transactions which be dealt by Party A and Party B on their own) Before applying for handling transfer registration of this house ownership, Party A and Party B shall print transfer registration application of house ownership through online operation service of Nanjing real estate trading market, apply for transferring registration application of house ownership from housing management institution with application and other registration documents within three days. In accordance with relevant regulations, after Party B receiving the House Ownership Certificate, both of the two parties shall apply for alteration of this house land use right to landadministrationdepartment. Taxes which shall be paid when handling the above procedures will be paid through the following method: □ Party A and Party B bear on their own according to national regulations □ Party A bears all the fees □ Party B bears all the fees. Article VIII Risk of damage and loss of this house would be transferred to Party B upon □ the day when the house is officially delivered □ N/A days rights are transferred. Article IX In case that this house is demolished in accordance with laws within N/A months upon the rights transferring day (demolition day subjects to removal of Party B), the two parties handle according to the following agreements: □ In case that compensation of housing demolition (including original sum) exceeds the housing price as agreed in the contract, new rights and obligations shall not be generated by housing demolition for both parties; In case that compensation of housing demolition is less than the housing price as agreed in the contract, Party B preserves the right of requesting compensation, that is, % of margin from Party A. □ Article X Property management, water, electricity, gas, cable television, communication and other relevant fees shall be handled in accordance with the following agreements when officially delivering this house: Party A and Party B pay relevant fees individually. Article XI Party A, Party B and brokerage agency voluntarily abide by relevant regulations on Measures for the Online Trading Administration of Nanjing Stocking House, in case that one of the parties violates relevant regulations on Measures for the Online Trading Administration of Nanjing Stocking House and causes damage to legitimaterights of other party, he shall bear relevant compensationliability. Article XII The matters not mentioned in this contract, Party A and Party B shall sign supplement articles or supplement agreements which are the impartible part of this contract together with the appendix of this contract. Article XIII This contract comes into force upon □ the day when Party A and Party B sign the contract □ day. Article XIV Any disputes occurred during the performance of the contract shall be settled through negotiation. In case fails negotiation, both parties can sue to the People’s Court according to laws. Article XV This contract is in triplicate, with Party A and Party B holding one copy respectively and one copy submitted to registration authority when applying for the house ownership transfer registration. In order to avoid certain disputes caused by area discrepancy after transaction, Lishui District Real Estate Administration Bureau would recheck the area for both the buyer and the seller before transaction and transfer procedures are handled (recheck will be completed within two days and there sets survey admissibility window in the trading hall). Party A and Party B have fully understood and anticipated the above house area discrepancy. Both of the two parties agree to handle as the following N/A method after friendly negotiation: 1. Charging by set when purchase and sell this house. The two parties voluntarily agree to apply for ownership registration complying with area recheck results of real estate surveying and mapping department, and the agreed housing price stipulated in Purchase and Sales Contract of Stocking House of Lishui District would not be adjusted. 2. The house area recorded as the results of area recheck of real estate surveying and mapping department is N/A square meters. Both parities voluntarily agree to apply for ownership registration complying with area recheck results of real estate surveying and mapping department and adjust the housing price stipulated in Purchase and Sales Contract of Stocking House of Lishui District to RMB N/A, moreover, the adjusted housing price shall prevail when applying for declared value to real estate ownership registration authority. 3.
